I. Job Profile:
Job Title: Senior Corporate Counsel
Department: Legal
Direct Supervisor: Assistant General Counsel
Direct Subordinates: None
II. Job Summary:
1. Provide legal advice to leadership, functional departments to ensure compliance and minimize risk;
2. Review and Negotiate commercial contracts;
3. Manage litigation.
III. Job Functions and Duties:
NO. Representative Duties
1 Conduct internal investigation and handle investigations of government administrative agencies
2 Prepare and review contracts, policies or memos as directed by Assistant General Counsel and General Counsel. Contracts include NDAs, joint development agreements and purchase and sales agreements with 3rd parties.
3 Advise on Human Resources/Employee Relations regarding employment issues as directed by Assistant General Counsel.
4 Manage outside counsel as may be delegated by General Counsel
5 Other duties as assigned by Assistant General Counsel

IV. Qualifications:
Job Requirements:
Language: Languages spoken commonly in the workplace are English and Mandarin. - Ability to read, understand and comprehend documents such as safety rules, operating and maintenance instructions. Ability to interpret a variety of instructions furnished in written, oral, diagram, or schedule form. Ability to speak effectively and interact with other team members, engineers, leadership and customers.
Experience: 5+ years or relevant experience.
Education: JD from an accredited law school. Licensed to practice in the State of Ohio.
Physical Condition: The employee is regularly required to stand or sit for long periods.
Duties will include long periods of viewing a computer monitor.

V. Work Environment:
Bright, clean, well ventilated office building. While performing the duties of this job, the employee is occasionally exposed to extreme heat. The noise level in the work environment is usually moderate. Safety requirements for this position
are safety glasses and steel-toed work boots.
